Obodog ®, a registered trademark of Obodog s.r.o. actively promotes the advertising and promotion of its products by select and respected members of the pet community. This agreement describes the terms of your relationship with Obodog s.r.o. as a brand ambassador based in the Czech Republic.

By signing up as an Obodog Brand Ambassador, you agree to the following terms and conditions:

1. Supported Products:

Endorsed products are products sold under the Obodog brand.

2. Ambassador Requirements: Only one person can be appointed as an Ambassador:

Your requirements as a Brand Ambassador are set out in the Ambassador Requirements section of the online application and Ambassador Panel, which is hereby incorporated by reference into this Agreement.

Requirements include:

Have an active, public Instagram account for your dog with at least 1,000 followers and more than 3 posts per week.

At least 18 years of age

Ambassadors are expressly prohibited from sharing discount codes on coupon sites. Any Ambassador whose code is found on a coupon site will be immediately removed from the program and all store credits will be revoked. Ambassadors must comply with all state and local regulations, including applicable regulations governing marketing emails (i.e. CAN-SPAM Act) and all other anti-spam laws.

As an Ambassador, you are expected to make at least one sale per 90 days for which you will receive a commission. Ambassadors who do not meet this requirement are considered inactive and their Ambassador account and unique discount code will be deactivated.

Ambassadors who do not comply with these requirements may have their contract terminated, suspended and/or all store credits revoked.

3. Promotion of Sponsored Products:

You agree to use your best efforts to promote the Approved Products in a manner consistent with their approved use and as indicated on the product labels. Approved channels for promotion include: 1) your own website or blog; 2) emails to friends and family (no spam); and 3) Facebook, Instagram, TikTok and YouTube.

4. Prohibited Content:

Ambassador agrees not to post content on any platform, as determined by Obodog s.r.o in its sole discretion, that:

Is pornographic, sexually explicit or suggestive or contains profanity or nudity;

is unnecessarily violent or offensive to any ethnic, racial, gender, religious, professional or age group;

promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the above);

Promotes any activities that may appear to be dangerous;

is obscene or offensive or promotes any form of hatred or hate group;

defames, misrepresents or contains derogatory remarks about other persons or entities;

communicates messages or images that are contrary to the positive image and/or goodwill with which Obodog Ltd. wishes to be associated;

violates any law.

5. Indemnification:

You agree that Obodog s.r.o, its officers, agents, successors and employees shall not be liable for any injury or damage arising out of the use or promotion of any approved product.

6. Relationships:

This agreement shall not be construed as an employer/employee or employer/contractor relationship.

7. Confidentiality/Use:

On occasion, we may share information with you that is confidential in nature, such information will be marked as confidential and you are expected to keep such information in strict confidence. Any disclosure of confidential information will result in termination of this Agreement and legal action

8. Intellectual property:

Ambassador acknowledges and hereby agrees to grant to Obodog s.r.o. an unrestricted and unencumbered right to use any work product that Ambassador creates in connection with providing services to Obodog s.r.o. Work product includes, but is not limited to, all social media posts, images, videos, recordings, slogans, hashtags, posts, comments and suggestions.

a. Except where prohibited by law or regulation, Ambassador grants Obodog s.r.o. and its successors, assigns, licensees, and designees permission to use Ambassador's name, social media platform account name, photograph (including, but not limited to, the profile photo on the social media platform account), voice, and/or other likeness in all media now known or later discovered (including, but not limited to, the Obodog s.r.o. website). r.o and through Obodog s.r.o's social media platform accounts), worldwide, in perpetuity, for any purpose without further compensation, remuneration, notice or consent.

b. Ambassador is not authorized to use any copyrighted content of other companies to promote the Obodog ® brand.

Obodog s.r.o shall not be liable for any litigation regarding the unauthorized use of any other company's intellectual property.

9. Term and Termination:

The effective date of this Agreement shall be January 1, 2022. The term of this Agreement shall be one (1) year from the Effective Date. This Agreement shall automatically renew at the end of each term for an additional one (1) year term unless either party gives the other party written notice of termination at least 30 days prior to the end of the applicable term. Notwithstanding the foregoing, either party may terminate this Agreement at any time, with or without cause.

10. Credit for Commission:

As an Ambassador, you will earn a standard commission of 10% on all net sales directly achieved through your marketing efforts. Net sales are defined as sales excluding any discounts, shipping, store credit, refunds or taxes. Commissions are paid in the form of store credit valid for use on www.obodog.com.

In order to receive credit for a purchase, the customer must use your unique discount code when checking out at www.obodog.com. You cannot receive a commission on your own orders. Any Ambassador found to be committing commission fraud will be immediately removed from the Ambassador Program.

We reserve the right to cancel commissions due to returns, cancelled orders and duplicate orders in error. We also reserve the right to defer or refuse commissions for disputed orders or orders that we refuse and cannot fulfill, at our sole discretion.

Store credit will be issued at the end of the month for the previous month. For example, commissions earned in March will be paid at the end of April. The minimum payout amount each month is £100.

11. Removal:

We reserve the right to remove any ambassador from our Brand Ambassador program.

12. Changes:

We may change the terms of this agreement in the future. Except as otherwise provided in this Agreement or under applicable law, we will give you thirty (30) days' notice of any material change to this Agreement. If the change is unacceptable to you, you have the right to terminate the Agreement. However, if you continue to receive the benefits of the Contract after the notice period, you will be deemed to have accepted the changes. You may not alter this Agreement by making any typographical, handwritten or other changes to it for any purpose.

13. Full Agreement:

This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether written or oral, between the parties.
